Platform access and registration

The Platform is intended exclusively for persons acting in the course of their entrepreneurial, commercial or professional activity. Access to and use of the Services by consumers or users acting for personal purposes or outside professional activity are expressly excluded.

By registering on the Platform, the User declares that they act as a professional operator and that they hold all powers necessary to act in the name and on behalf of the relevant company or entity. MARVINET reserves the right to make Account activation conditional on the use of corporate or professional email addresses, excluding personal or anonymous addresses where this is considered necessary for security, reliability or compliance reasons.

To use the Services, the User must create a company Account by following the registration procedure available on the Platform. During registration, MARVINET may request information and documents relating both to the User and to the company or organisation on whose behalf the User acts, including identification data, business contact details, corporate information, commercial documentation, data relating to the ownership structure and further elements necessary for security and compliance checks.

In order to ensure the security of the Platform’s digital ecosystem and reduce the risk of fraudulent, unlawful or non-compliant activity, MARVINET will subject Users to identification, verification and validation procedures (“KYC” and “KYB”), carried out directly or through specialised Third-Party Providers. The User undertakes to cooperate in good faith with MARVINET throughout all verification stages, promptly providing the documentation and information requested.

The User is solely responsible for safeguarding and keeping confidential their access credentials, the devices used to access the Platform and every activity carried out through their Account. The User therefore undertakes to adopt all reasonably necessary measures to prevent unauthorised access, improper use of the Account or security breaches, including any multi-factor authentication procedures required by MARVINET. If the User becomes aware of unauthorised access, suspicious use or compromised credentials, they must immediately inform MARVINET through the channels indicated on the Platform.

The User remains fully responsible for all activities carried out through their Account, including those performed by employees, collaborators, consultants or other persons authorised to act on their behalf.

04

Platform use and User conduct

The User undertakes to use the Platform in good faith, in accordance with these Terms, applicable law and any operational policies or guidelines made available by MARVINET.

The User is solely responsible for all information, data, documents, communications, content and materials uploaded, transmitted, shared or otherwise made available through the Platform, including by way of example corporate data, commercial information, Product descriptions, economic conditions, logistics documentation, compliance documents and content exchanged in the context of Transactions.

The User undertakes to use only accurate, up-to-date, truthful and non-misleading information and not to publish, transmit or share content that is false, inaccurate or fraudulent, that infringes third-party rights, that is contrary to applicable law, that is capable of compromising the security, integrity or proper functioning of the Platform, or that contains malware, viruses, harmful code or other potentially prejudicial tools.

It is expressly forbidden for the User to:

  • use the Platform for unlawful, fraudulent or abusive purposes;
  • circumvent or attempt to circumvent the security, verification or compliance procedures implemented by MARVINET;
  • use false or unauthorised identities;
  • upload altered, incomplete or non-authentic documentation;
  • interfere with the functioning of the Platform or with the activity of other Users;
  • carry out scraping, data extraction, reverse engineering or unauthorised automated use of the Platform;
  • use the Platform in breach of export, economic sanctions, anti-money laundering, anti-corruption or international trade rules.

The User undertakes not to use the Platform in order to identify commercial counterparties and then intentionally circumvent the Platform’s operational or fee systems in relation to Transactions originating through the Platform. MARVINET reserves the right to require payment of the Transaction Fees relating to Transactions concluded outside the Platform where such Transactions result directly from contacts, negotiations or interactions initiated through the Platform.

The User also undertakes to use the Platform in full compliance with applicable rules on international economic sanctions, export control, trade embargoes, anti-money laundering, anti-corruption and international trade.

MARVINET reserves the right to monitor use of the Platform, including through automated tools, audit logs and security controls, in order to ensure the proper functioning of the Services, prevent unlawful or fraudulent activity and protect the integrity of the Platform’s digital ecosystem.

The User acknowledges and accepts that MARVINET may, at any time and in its reasonable discretion, remove content, limit functionality, suspend Transactions or adopt technical and organisational measures it considers necessary where it believes that a given behaviour, content or Transaction may breach these Terms, be contrary to applicable law or expose MARVINET, other Users or Third-Party Providers to legal, reputational, operational or compliance risks.

05

User operational roles and creation of Transactions

After completing the registration and verification procedures set out in these Terms, the User may access the Platform’s operational features and use the Services in the manner made available by MARVINET from time to time.

The Platform enables Users to act, within individual Transactions, as Buyer, Seller or Trader. The User’s operational status is not assigned permanently at registration, but is selected by the User in relation to each specific Transaction created through the Platform.

A User acting as Seller may publish Products, share commercial and operational information relating to them, define sale conditions and take part in Transactions concerning the sale of goods or merchandise.

A User acting as Buyer may take part in commercial negotiations, negotiate economic and operational conditions and initiate Transactions aimed at purchasing Products through the Platform.

A User acting as Trader acts as an independent commercial party in Transactions between Buyer and Seller, including any triangular operations or blind-trading structures. The Trader always acts in their own name, under their exclusive responsibility and without any relationship of representation, mandate or intermediation attributable to MARVINET. It is understood that any use of blind-trading or counterparty-anonymisation structures does not limit or prejudice identification, verification, monitoring, audit or compliance activities carried out by MARVINET, Escrow Agents or any Third-Party Providers involved in the Transaction. In such cases, information relating to the identity of the parties and the structure of the Transaction will be collected, retained, analysed and shared to the extent necessary to fulfil regulatory, contractual or compliance obligations.

All negotiation and commercial interaction activities take place directly between Users. MARVINET merely makes available technological tools intended to facilitate such interactions and does not determine prices, economic conditions or Users’ commercial choices.

Any use of automated workflows, matching tools, system notifications, standardised models or negotiation-support features does not constitute mediation, brokerage, commercial representation or advisory activity by MARVINET.

Within specific Transactions, the Platform may provide mechanisms for anonymising or limiting information relating to commercial counterparties, including blind-trading models or triangular operations, intended to facilitate certain commercial dynamics among Users. The User acknowledges and accepts that such mechanisms operate exclusively in the relationships among the Users involved in the Transaction and do not anonymise information vis-à-vis MARVINET, Escrow Agents or any Third-Party Providers engaged in compliance, verification, monitoring or operational management of the Transaction. MARVINET also reserves the right to make use of such features subject to further checks, to limit their use or to deactivate them in relation to specific Transactions or categories of Users where this is considered necessary for security, fraud prevention, anti-money laundering, compliance with economic sanctions rules or other compliance needs. In any event, each User acknowledges and accepts that they assume independently every commercial, economic, logistics and contractual risk connected with the Transaction concluded through the Platform.

06

Contracting of Transactions

Following negotiation of commercial terms among Users, the Platform may enable automated generation of standardised contractual documentation relating to Transactions concluded through it.

The User acknowledges and accepts that any contractual models, templates, automated workflows, pre-filled fields or documents generated through the Platform are made available exclusively as a technical-operational tool intended to facilitate formalisation of Transactions among Users.

MARVINET does not provide legal, tax, commercial or regulatory advice in relation to Transactions concluded through the Platform and does not guarantee that the generated documentation is suitable to meet Users’ specific regulatory, commercial or operational needs. Any generation, transmission, storage or sharing of contractual documentation through the Platform does not in any case result in MARVINET assuming the role of contractual party, representative, agent, broker or intermediary of Transactions concluded among Users.

The Platform may enable Users to use electronic signature tools, signature uploads, digital acceptance, electronic confirmation or other equivalent mechanisms for formalising Transactions. The User acknowledges and accepts the validity and effectiveness of the electronic acceptance methods made available through the Platform, within the limits permitted by applicable law.

The User is solely responsible for use of their credentials, electronic signatures, authentication tools or devices used to conclude Transactions through the Platform.

MARVINET may retain audit logs, timestamps, electronic records, operational histories and digital copies of documentation generated or shared through the Platform for security, compliance, operational traceability and Service management purposes.

Users remain free to supplement, amend or replace documentation generated through the Platform by separate agreements or further contractual arrangements concluded directly among themselves, it being understood that MARVINET will not be a party to such agreements.

07

Escrow and payment flows

Transactions concluded through the Platform may provide for the use of escrow services or other mechanisms for managing financial flows supplied by Escrow Agents or further independent Third-Party Providers.

The User acknowledges and accepts that MARVINET does not provide payment services, banking services, investment services or other regulated financial services and does not hold, receive, custody or transfer Users’ funds.

All payments relating to Transactions are made directly between Users and/or through the Escrow Agents involved in the Transaction, according to the methods agreed from time to time among the parties and governed by the applicable contractual documentation.

Within specific Transactions, the Platform may generate automatic notifications, operational alerts, documentary workflows or further system messages upon the occurrence of predetermined objective conditions, such as, by way of example, upload of shipping documentation, confirmation of delivery or a positive outcome of any Goods Check. The User acknowledges that such notifications constitute exclusively automatic messages generated by the Platform system on the basis of information and documents uploaded by Users or Third-Party Providers and do not represent payment instructions given by MARVINET, dispositive authorisations over funds, substantive checks on the correctness, authenticity or completeness of uploaded documentation, or decisions relating to the release, blocking or movement of funds that are the subject of the Transaction.

The conditions for release, unblocking, blocking or return of funds that may be deposited with the Escrow Agent are governed exclusively by the applicable escrow agreement and the procedures adopted by the Escrow Agent. No information, notification, operational confirmation, workflow or event recorded on the Platform constitutes, by itself, a binding condition for release of funds, nor does it confer on MARVINET any power to determine, authorise, prevent or influence the Escrow Agent’s decisions regarding management of such funds.

Within Transactions concluded through the Platform, MARVINET acts, in relation to appointment of the Escrow Agent, as agent of the Users without representation. Such mandate is conferred by the User on MARVINET upon acceptance of these Terms and authorises MARVINET to appoint the Escrow Agent on behalf of the Users and to transmit to it KYB information and the status of relevant Transactions, strictly to the extent necessary to perform the escrow service. The mandate does not confer on MARVINET any dispositive power over Users’ funds, nor any decision-making role regarding release, blocking or management of such funds, which remain the exclusive competence of the Escrow Agent as an independent party. MARVINET is not a party to the escrow agreement entered into between Users and the Escrow Agent and assumes no liability for the acts or omissions of the latter. In any event, MARVINET does not hold, receive, custody, move or control Users’ funds and has no power, even indirect or de facto, to authorise, condition, delay, prevent or determine the release, blocking, return or any other movement of funds deposited with the Escrow Agent.

The User acknowledges that MARVINET may receive Transaction Fees or other consideration connected with use of the Platform and related digital Services. Such consideration does not constitute remuneration for financial services, commercial intermediation or payment management, but exclusively for making available the technological infrastructure and the Platform Services.

The User undertakes to use exclusively payment instruments, bank accounts and financial flows that comply with applicable law, the Platform’s compliance policies and any procedures required by Escrow Agents or Third-Party Providers involved in the Transactions.

The User acknowledges and accepts that the Escrow Agent carries out its own customer due diligence (KYC/KYB) and sanctions screening independently of the onboarding procedures performed by MARVINET. A successful onboarding outcome on the Platform does not prejudice the Escrow Agent’s ability to carry out additional checks, request supplementary documentation or refuse to provide its services under its internal compliance procedures.

08

Transaction Fees

Use of specific Platform features or conclusion of Transactions through the Platform may entail payment of Transaction Fees due as indicated on the Platform or in the commercial documentation communicated to Users.

Unless otherwise indicated by MARVINET, Transaction Fees accrue upon completion of the Transaction, are calculated on the basis of the value of the Transaction itself, and are due from the User identified on the Platform as the party obliged to pay.

Amounts due to MARVINET are understood to be net of VAT, taxes, duties, withholding taxes or further applicable charges, which will remain payable by the User where provided by applicable law.

Unless otherwise agreed in writing, accrued Transaction Fees are non-refundable.

09

Delivery, commercial documentation and Goods Check

Within Transactions concluded through the Platform, Users may use the features made available by MARVINET to share, upload, consult and manage Delivery Documentation, logistics information, commercial documentation and further content relating to shipment, delivery or performance of Transactions.

The User is solely responsible for the correctness, authenticity, completeness and compliance of documentation uploaded or shared through the Platform, including by way of example transport documents, invoices, packing lists, certifications, customs documentation, logistics reports, certificates of origin, Delivery Documentation and any other document relating to Transactions.

Transactions concluded through the Platform may provide for Goods Check procedures or further qualitative, quantitative or documentary verifications of the Products carried out directly by Users or through independent Third-Party Providers.

The User acknowledges and accepts that any Goods Check, inspection reports, certifications, qualitative verifications or documentary checks are carried out by independent third parties or by the Users themselves and do not constitute certifications or guarantees issued by MARVINET.

MARVINET merely makes available technological tools aimed at operational and documentary coordination of Transactions and assumes no role in organising transport, logistics management, customs activities, custody of Products or physical performance of deliveries.

10

Limitation of liability

The User acknowledges and accepts that MARVINET operates as a provider of technological infrastructure intended to facilitate commercial Transactions among independent professional operators. MARVINET implements operational, technical and compliance procedures aimed at strengthening the security and reliability of the Platform ecosystem; however, such procedures neither eliminate nor transfer to MARVINET the commercial, economic, logistics, regulatory or contractual risks connected with Transactions concluded by Users.

Except in cases of wilful misconduct or gross negligence, MARVINET shall not be liable for:

  • acts, omissions, statements or defaults of Users or third parties;
  • the quality, conformity, availability or merchantability of the Products;
  • the correctness, authenticity or completeness of information or documentation shared through the Platform;
  • failure to complete or perform Transactions;
  • any delays, disputes, fraud, insolvency or controversies arising from Transactions concluded among Users;
  • activities, services or omissions of Escrow Agents or Third-Party Providers;
  • interruptions, malfunctions, unavailability or vulnerabilities of the Platform not directly attributable to MARVINET.

MARVINET does not guarantee that: the Platform is always available, continuous or free from errors; use of the Platform enables achievement of specific commercial results; registered Users meet particular solvency, commercial reliability or operational capacity requirements.

To the maximum extent permitted by applicable law, MARVINET shall not be liable for indirect, consequential, reputational or loss-of-profit damages, including loss of profit, loss of business opportunities, loss of data or interruption of activity.

Without prejudice to mandatory provisions of applicable law, MARVINET’s aggregate liability towards the User shall in no event exceed the amount of Transaction Fees actually paid by the User to MARVINET in the twelve (12) months preceding the event giving rise to liability.

11

Suspension and compliance measures

MARVINET reserves the right to adopt, at any time and in its reasonable discretion, technical, operational or organisational measures aimed at protecting the security, integrity and compliance of the Platform and of Transactions concluded through it.

Such measures may include, by way of example: requests for additional information or documentation, temporary limitation of specific features, suspension of Accounts or Transactions, temporary blocking of operational activities, removal of content or documentation, limitation of access to the Platform, or termination of the relationship with the User.

MARVINET may adopt the measures referred to in this article where it reasonably believes that:

  • the User has breached these Terms or applicable law;
  • the information or documentation provided is incomplete, inaccurate, false or misleading;
  • there are suspicions of fraudulent, abusive or unauthorised activity;
  • risks connected with anti-money laundering, economic sanctions, export control or other compliance rules emerge;
  • use of the Platform may expose MARVINET, other Users or Third-Party Providers to legal, reputational, operational or regulatory risks.

The User undertakes to cooperate promptly and in good faith with MARVINET in verification, compliance, audit or risk-management activities that may be required in relation to use of the Platform or Transactions concluded through it.

The User acknowledges and accepts that MARVINET may at any time request additional information, statements or documentation relating to the User, beneficial owners, Transactions concluded through the Platform, the origin of funds, the commercial supply chain, Products that are the subject of Transactions or other elements considered relevant for security, compliance, fraud prevention, anti-money laundering, compliance with economic sanctions and export-control rules or further applicable legal obligations.

Without prejudice to applicable rules on confidentiality, security and compliance, MARVINET undertakes to notify the User of restrictive measures adopted against them under this article, providing an indication of the reasons justifying them, by written communication through the Platform or to the email address associated with the Account. The notification obligation does not apply where disclosure of the reasons may prejudice security purposes, internal investigations, anti-money laundering or sanctions obligations, or obligations arising from orders of judicial or supervisory authorities.

The User has the right to challenge MARVINET decisions that directly concern them, including decisions to refuse onboarding, suspend the Account, limit features or terminate the service, through the internal complaints-management system made available by MARVINET via the channels indicated on the Platform. MARVINET will examine the complaint with diligence and provide the User with a reasoned response within a reasonable time, and in any event no later than thirty (30) days from receipt, except in cases of particular complexity requiring deeper analysis.

12

Duration of the relationship and express termination clause

These Terms shall remain effective from the date of acceptance by the User and for the entire duration of use of the Platform.

The User may at any time cease using the Platform and request closure of their Account by communicating with MARVINET through the channels made available on the Platform.

Pursuant to and for the purposes of Article 1456 of the Italian Civil Code, MARVINET shall also have the right to terminate this relationship with immediate effect by simple written notice to the User where:

  • the User breaches the obligations set out in Arts. 3 (Platform access and registration), 4 (Platform use and User conduct), 5 (User operational roles and creation of Transactions), 8 (Transaction Fees), 10 (Limitation of liability), 11 (Suspension and compliance measures), 14 (Intellectual property and use of the Platform);
  • the User, more generally, uses the Platform for unlawful or fraudulent purposes or in breach of applicable law.

Termination of the relationship, for whatever cause, shall not prejudice the validity of Transactions already concluded among Users, nor MARVINET’s right to receive Transaction Fees or further amounts already accrued.

Provisions that by their nature are intended to survive termination of the relationship shall remain fully valid and effective even after closure of the Account or cessation of use of the Platform, including by way of example clauses relating to limitation of liability, intellectual property, compliance, confidentiality, data processing, governing law and dispute resolution.

13

Force majeure

MARVINET shall not be liable for delays, interruptions, unavailability, malfunctions or non-performance arising from events or circumstances beyond its reasonable control, including by way of example and without limitation: natural events, disasters, fires, floods, earthquakes or other catastrophic events; wars, armed conflicts, acts of terrorism, riots, uprisings, civil unrest or national emergencies; pandemics, epidemics, health emergencies or measures adopted by competent public authorities; blackouts, interruptions of electricity networks, internet infrastructures, telecommunications networks or cloud services; cyberattacks, cyber incidents, malware, ransomware, denial-of-service attacks or further events affecting information security; unavailability, suspension, malfunction or cessation of services provided by Third-Party Providers, Escrow Agents, cloud providers, KYC/KYB providers, technology infrastructure suppliers or further third parties involved in Platform operations; regulatory measures, government restrictions, embargoes, economic sanctions, export restrictions, banking blocks or further measures adopted by national or international authorities.

If a force majeure event occurs, MARVINET may temporarily suspend, limit or modify, in whole or in part, access to the Platform or to specific features for the time strictly necessary to manage the event and restore operational conditions.

MARVINET will adopt reasonably adequate measures to mitigate the effects of force majeure events and restore full Platform operations as soon as reasonably possible, it being understood that such events shall not be considered a breach of the obligations assumed by MARVINET under these Terms.

During the persistence of the force majeure event, MARVINET’s obligations directly prevented or limited by the event shall be deemed suspended for the duration of the event, without this giving rise to liability, compensation obligations or indemnity rights in favour of Users.

14

Intellectual property and use of the Platform

The Platform, including the software, technological infrastructure, databases, interfaces, layouts, operational workflows, algorithms, content, trademarks, logos, distinctive signs, technical documentation and every further element thereof, are and shall remain the exclusive property of MARVINET or its respective licensors.

Use of the Platform by the User does not entail any transfer or grant of intellectual property rights other than the limited, non-exclusive, non-transferable and revocable right to use the Services within the limits set out in these Terms.

The User retains ownership of content, data and documents uploaded through the Platform. The User nonetheless grants MARVINET, for the duration of the contractual relationship and to the extent necessary to provide the Services, a non-exclusive, worldwide, royalty-free licence, sublicensable to Third-Party Providers involved in Platform operations, for hosting, processing, use, transmission and technical management of content and Transactions concluded through the Platform.

The User represents and warrants that they hold all rights, authorisations and legal bases necessary in relation to content, data and documents uploaded or shared through the Platform and undertakes not to use content that infringes intellectual property rights, third-party rights or applicable law.

15

Data processing

The processing of personal data in connection with the Platform is governed by the Marvinet Privacy Notice, available on the website and accessible from the Platform.

16

Communications

The User accepts that MARVINET may make communications relating to the Platform, the Services, Transactions or these Terms by email, in-platform notifications, operational dashboards or further digital channels made available through the Platform.

Communications made through the Platform or via the email addresses associated with the User’s Account shall be deemed validly made upon sending or upon being made available on the Platform.

17

Governing law and dispute resolution

These Terms, as well as access to and use of the Platform, are governed by and construed in accordance with Italian law, excluding private international law rules and the 1980 Vienna Convention on Contracts for the International Sale of Goods, where applicable.

Any dispute arising from or connected with these Terms, use of the Platform or the Services provided by MARVINET shall be submitted to the exclusive jurisdiction of the Court of Milan, except where otherwise provided by mandatory applicable law.

It is understood that disputes relating to Transactions concluded among Users remain exclusively governed by the agreements entered into among them and MARVINET shall not be a party to such disputes.

MARVINET reserves the right to seek interim or urgent measures before any competent authority for the protection of the Platform, its intellectual property rights, data, IT systems or the integrity of the Services.

18

Assignment of the contract

The User may not assign, transfer or delegate to third parties, in whole or in part, the rights or obligations arising from these Terms without MARVINET’s prior written consent.

MARVINET may assign or transfer these Terms, as well as the rights and obligations arising therefrom, to group companies, Affiliates or parties involved in corporate transactions, mergers, acquisitions, reorganisations or business transfers relating to the Platform.

19

Final provisions

MARVINET reserves the right to amend or update these Terms at any time, as well as any policies or documents referred to herein, in order to adapt them to regulatory, technical, operational or commercial developments of the Platform.

Amendments shall be effective from the date of publication on the Platform or from such other date as MARVINET may indicate. Continued use of the Platform after the amendments take effect shall constitute acceptance of the same by the User.

If one or more provisions of these Terms are held invalid, ineffective or unenforceable, such invalidity, ineffectiveness or unenforceability shall not prejudice the validity and effectiveness of the remaining provisions, which shall remain fully valid and effective.

Any failure by MARVINET to exercise rights or powers provided under these Terms shall not constitute a waiver thereof nor preclude subsequent exercise of the related rights.

These Terms constitute the entire agreement between MARVINET and the User relating to use of the Platform and supersede any prior understanding, communication or agreement, written or oral, having the same subject matter.

These Terms are drafted in Italian and English. In the event of translation into other languages, the Italian version shall prevail in case of interpretative conflict.

Pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, the User declares that they have carefully read and specifically approve the following provisions of these General Terms of Use: Art. 4 (Platform use and User conduct); Art. 7 (Escrow and payment flows); Art. 8 (Transaction Fees); Art. 10 (Limitation of liability); Art. 11 (Suspension and compliance measures); Art. 12 (Duration of the relationship and express termination clause); Art. 13 (Force majeure); Art. 14 (Intellectual property and use of the Platform); Art. 16 (Communications); Art. 17 (Governing law and dispute resolution); Art. 18 (Assignment of the contract); Art. 19 (Final provisions).
